There is no provision in the Act according the Commission jurisdiction to assess
damages resulting from the loss of service of a railroad authorized to be aban-

DIRECTORS

In General: Under the law, unless the Commission grants the specific privi-
lege, a person may be an officer or director of one carrier, and no more.
Astor, 528 (529).

Actual independence of systems of railroads is not promoted by permitting
the same persons to serve upon the boards of directors of two or more major
carriers when such carriers are important members of different systems under
the consolidation plan. In authorizing an individual to serve as officer or
director of more than one carrier it is not enough to say that the Commission
can see no harm in what is proposed; it is essential that it be able to say beyond
doubt that neither public nor private interests will suffer. Id. (529).

Connection of railroads through persons will be decisive rather than the direct
connection through steel rails in preliminary negotiations leading up to the
presentation of a consolidation plan. Id. (530).

In a sense each railroad competes with every other railroad in the country,
but actual paralleling or connection of tracks is not a necessary accompaniment
of competition. Connections through boards of directors and traffic officials
selected or influenced by them are much more important. Id (530).

It is not necessary that every existing board of directors must be brought into
conformity with the principle that an officer or director shall hold positions with
other carriers without authorization of the Commission, but corrections should
be made as and when shown to be in the public interest and conformity observed
when new applications are presented. Id (530).
